1. About these terms
These Terms & Conditions (the “Terms”) apply to the TravelSuite ERP website, software, cloud plans, lifetime licenses, add-ons and related services (together, the “Services”) provided by TravelSuite ERP (“TravelSuite”, “we”, “us” or “our”).
By placing an order, paying an invoice or using the Services, the business you represent (“you” or the “Customer”) agrees to these Terms. If you accept them on behalf of a business, you confirm that you have the authority to do so.
The Services are intended for travel agencies, tour operators and other businesses. They are not offered to consumers for personal use.
Where a signed proposal, order form or Enterprise contract conflicts with these Terms, that document applies for the matters it covers.
2. Definitions
- “Cloud plan” means a subscription in which we host and operate TravelSuite ERP for you, billed monthly or yearly.
- “Lifetime license” means a one-time license to use TravelSuite ERP on a server you provide, as described in section 5.
- “Customer Data” means the information you or your users enter into the Services, including data about your travellers, agents, suppliers and staff.
- “Users” means the staff and other people you authorise to access the Services under your account.
- “Third-party Services” means services provided by others, such as GDS and airline systems, hotel suppliers, messaging platforms, email providers and payment providers.
3. The Services
TravelSuite ERP is travel business software covering, depending on your plan, booking modules, a customer website, CRM, accounting, HR, support tickets, a shared inbox and related tools. The features included in each plan are described on our pricing page or in your order.
Setup, data import and staff training are included as described for your plan. Add-ons, supplier integrations, mobile apps and custom development are provided only when agreed in writing and quoted separately.
We continuously improve the Services and may add, change or retire features. We will not materially reduce the core functionality of a plan you have paid for during the paid period.
4. Orders, fees and payment
An order is confirmed when we issue an invoice for the plan or service you have chosen and you pay it. Our team confirms orders through WhatsApp or email.
- Fees are stated in US dollars and are payable in advance, before the service period begins or before installation starts.
- Fees exclude VAT and other taxes, bank charges and the fees of Third-party Services, which are your responsibility.
- Cloud plans renew automatically at the end of each monthly or yearly period unless you cancel before the renewal date.
- If an invoice remains unpaid after its due date, we may suspend access after giving you notice. Access is restored once the balance is paid.
- We may change our prices. Changes to a cloud plan apply from your next renewal, and we will tell you at least 30 days in advance.
Refunds are handled under our Refund Policy, which forms part of these Terms.
5. Lifetime licenses
A lifetime license gives you a non-exclusive, non-transferable right to use TravelSuite ERP for your own business on a server you provide, for as long as you comply with these Terms.
- We install the software on your server free of charge.
- Our team carries out the maintenance and updates of your installation. The license includes lifetime updates at no extra cost.
- You are responsible for providing and paying for a server that meets our technical requirements, and for giving us the access we need to install, maintain and update the software.
- You may not resell, sublicense, rent or share the software with other businesses, or remove our copyright notices.
- Source code is not included unless it is expressly agreed in an Enterprise contract.
6. Accounts and security
You are responsible for your Users, for keeping login details confidential and for all activity under your account. Use strong passwords, give each User only the access their role needs, and remove access when a User leaves your business.
Tell us immediately if you suspect any unauthorised access to your account. We may temporarily restrict access when this is needed to protect your account, other customers or our systems.
7. Customer Data
You own your Customer Data. You give us permission to host, copy, process and display it only as needed to provide, secure and support the Services, and as described in our Privacy Policy.
You are responsible for the accuracy of your Customer Data and for having a lawful basis to collect it and to share it with us, including any notices or consents your travellers and staff are entitled to.
We do not sell Customer Data and do not use it to market to your customers. Our staff access it only when this is needed to provide or support the Services.
When a cloud plan ends, you can ask us for an export of your Customer Data within 30 days. After that period, we may delete it from our active systems, except where the law requires us to keep it.
8. Acceptable use
You and your Users must not:
- use the Services for any unlawful, fraudulent or misleading purpose;
- send spam or unsolicited messages, or use messaging channels in breach of the rules of the platform concerned;
- upload malware, or attempt to probe, overload or break the security of the Services;
- try to access another customer’s data or any part of our systems you are not authorised to use;
- copy, reverse engineer or build a competing product from the Services, except where the law allows it.
We may suspend access that breaches this section, and will tell you why unless the law or an urgent security issue prevents us.
9. Third-party Services
The Services can connect to Third-party Services such as GDS and airline systems, hotel suppliers, WhatsApp, Messenger and Instagram, email providers and payment providers. Your use of each one is governed by your own agreement with that provider.
Third-party Services are outside our control. We are not responsible for their availability, pricing, content, decisions or changes, or for losses they cause. If a provider changes or withdraws its service, the related feature may stop working, and we will make reasonable efforts to offer an alternative.
10. Availability, maintenance and support
We aim to keep cloud plans available at all times. Planned maintenance is announced in advance where possible and scheduled to limit disruption. We take regular backups of cloud plans.
Support is provided in English and Bangla through WhatsApp, phone and email during our business hours. Support covers the use of the Services and the correction of faults; it does not include custom development or the operation of your business.
11. Intellectual property
TravelSuite ERP, our website and all related software, designs, documentation and trademarks belong to us or our licensors. These Terms give you a right to use the Services, not ownership of them.
If you send us suggestions or feedback, we may use them to improve the Services without any obligation to you.
12. Confidentiality
Each party will keep the other’s non-public business, technical and pricing information confidential and use it only for the purposes of this agreement. This does not apply to information that is already public, independently developed or lawfully received from someone else, or that must be disclosed by law.
13. Warranties and disclaimers
We will provide the Services with reasonable skill and care. Apart from that commitment and anything else expressly stated in these Terms, the Services are provided “as is” and “as available”.
We do not guarantee that the Services will be uninterrupted or error-free, or that they will meet every requirement of your business. You remain responsible for your business decisions, prices, bookings and compliance with the laws and licensing rules that apply to travel businesses in your country.
14. Limitation of liability
To the extent permitted by law:
- neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data that could have been prevented by keeping your own backups;
- our total liability arising from the Services in any 12-month period is limited to the fees you paid us for the Services in that period.
Nothing in these Terms limits liability for fraud, or for any liability that cannot be limited by law.
15. Suspension and termination
You may cancel a cloud plan at any time. The plan stays active until the end of the period you have paid for and is not renewed.
We may suspend or end the Services if you seriously breach these Terms and do not fix the breach within 14 days of our notice, if invoices remain unpaid, or immediately where the law or a security risk requires it.
Sections that by their nature should continue after the end of the agreement, including those on fees owed, Customer Data, confidentiality, intellectual property and limitation of liability, remain in force.
16. Changes to these Terms
We may update these Terms from time to time. We will publish the new version on this page with a new “Last updated” date and tell customers about material changes in advance. If you continue to use the Services after a change takes effect, the updated Terms apply.
17. Governing law and disputes
These Terms are governed by the laws of Bangladesh. If a dispute arises, both parties will first try in good faith to resolve it through discussion. If it cannot be resolved within 30 days, it may be brought before the competent courts of Dhaka, Bangladesh.
